Welcome to CieloForge ("we", "our", or "us"). By accessing or using our platform, mobile application, website, and services (collectively, the “Services”), you agree to be bound by the following Terms and Conditions (“Terms”). If you do not agree to these Terms, please do not use CieloForge.

1. By signing up for, accessing, or using CieloForge, you agree to comply with and be legally bound by these Terms and our Privacy Policy. You must be at least 18 years old to use the Services.

2. You are responsible for maintaining the confidentiality of your account credentials. You agree to provide accurate, current, and complete information when registering and to update it as necessary.

3. You may use CieloForge for lawful purposes only. You agree not to: Reverse engineer, decompile, or hack the platform Use the service for spam, phishing, or other malicious activities Infringe on any third-party intellectual property or proprietary rights h Attempt to gain unauthorized access to other user accounts or data

4. Our Services are delivered under a Contract signed by you. The Contract specifies the scope, timeline, deliverables, and payment terms.

5. Pricing & Payment: Grace Period – 30 days from the due date before interest is charged. Late‑Payment Interest – 4% per month on overdue amounts. Extended Late Fee – After 3 months overdue, an additional fee equal to 50% of the remaining amount will be added. Refunds – No refunds are provided unless expressly stated in the Contract.

6. Early Termination: If you terminate the Contract before its natural end, you will be charged an early‑termination fee equal to 50% of the remaining contract value, unless the termination is due to a breach of our guarantees (see §NUM)

7. Guarantees & Warranties: Any guarantees are expressly outlined in the Contract. If a guarantee is not met, you will receive a half‑rate for the payment period during which the guarantee was breached, and the early‑termination fee will be waived.

8. Intellectual Property: All intellectual property rights in our platform, including software, content, and trademarks, are owned by us or our licensors. You may not copy, modify, distribute, or sell any part of our platform without our prior written consent. Deliverables created specifically for you (e.g., website designs) remain our intellectual property, unless otherwise specified. You receive a non‑exclusive license to use those deliverables for the purpose agreed in the Contract. All other content, data, or materials you provide remain your property.

9. All content, branding, and software provided through Startly remain our intellectual property or that of our licensors. You may not reproduce, distribute, or modify any part of the Services without our prior written consent.

10. Limitation of Liability: Our liability is limited to the normal legal standards applicable in the Philippines. We shall not be liable for indirect, incidental, or consequential damages.

11. Dispute Resolution: Mediation – We first attempt to resolve disputes through mediation in a mutually agreed venue.
Arbitration – If mediation fails, disputes will be settled by arbitration under the rules of the Philippine Dispute Resolution Center (PDRC) or, if both parties agree, the International Chamber of Commerce (ICC).

12. Governing Law: This Agreement is governed by the laws of the Philippines, without regard to its conflict of law provisions.

13. Force Majeure: Neither party shall be liable for failure to perform its obligations if caused by events beyond its control (e.g., natural disasters, war, government action).

14. Entire Agreement: This Agreement, together with the signed Contract, constitutes the entire agreement between you and CieloForge. It supersedes all prior negotiations, understandings, or agreements.

15. Severability: If any provision of this Agreement is found invalid or unenforceable, the remaining provisions remain in full force.

16. Amendment & Modification: Any amendment to this Agreement must be in writing and signed by both parties. We reserve the right to modify this Agreement; any changes will be posted on our website and will take effect 30 days after posting.

17. Updatng the Agreement: We may update this Agreement from time to time. Updated versions will be posted on our website and the new date of effect will be indicated. Your continued use of our website or services after such changes constitutes your acceptance of the revised terms.

18. We reserve the right to suspend or terminate your access to CieloForge at our sole discretion, with or without notice, for any violation of these Terms or if your use harms the platform or its users.
